Qualifying Transaction-Completed:

TSX Venture Exchange has accepted for filing the Qualifying Transaction of Oil Optimization Inc. (the Company), as described in the Company's Filing Statement dated October 15, 2010. As a result, at the opening on November 5, 2010, the Company will no longer be considered to be a Capital Pool Company.

The Qualifying Transaction involves the acquisition of Red Stag Resources Inc. (Red Stag), a private junior oil and gas exploration company, with oil and gas exploration programs in Thailand.  The Acquisition was carried out pursuant to the terms of a Securities Exchange Agreement, whereby the shareholders of Red Stag received one common share of the Company in exchange for each outstanding share of Red Stag. The Company issued 88,100,000 common shares at a deemed price $0.085 per share for aggregate deemed consideration of $7,488,500.

Captus Partners Ltd. acted as financial advisors to Red Stag in connection with the acquisition and as compensation it received $100,000 cash as well as 733,333 common shares of the Company.
