As a result of the Arrangement, the following will occur:
1. Lara will acquire all of the outstanding securities of Maxy with the
result that Maxy will become a wholly owned subsidiary of Lara; and
2. The Maxy Shares will be delisted from trading on the Exchange.
The Exchange has been advised that approval of the Arrangement by
shareholders of Maxy was received at a meeting of the shareholders held on
December 14, 2009 and that approval of the Arrangement was received from the
Supreme Court of British Columbia on December 15, 2009. The full particulars
