    In order to obtain the 100% interest, the Company must make cash payments
totaling $650,000 ($30,000 within the first year upon signing), issue

exploration work in the amount of $5,000,000, over a five year period.
    The Vendors shall retain a sliding scale Gross Metal Royalty of 1-2.5%
benchmarked against the price of gold.
