TSX Venture Exchange (the "Exchange") accepts for filing documentation pursuant to a Purchase Agreement dated October 5, 2016 (the "Agreement"), and announced via news release on December 30, 2016 (the "Agreement"), between the Company and Decoors Mining Corp ("Vendor"). As per the terms of the Agreement, the Company will acquire 9 mineral tenures comprising approximately 2,443.17 hectares located in the Omineca Mining Division, known as the SID Claims Property (the "Property").

The Vendor grants an option to the Company to acquire up to a 100% interest in the Property, subject to a 2% NSR. In consideration, the Company will issue a total of 2,000,000 common shares ("Shares") to the Vendor and complete a total of $1,000,000 in work commitments over a period of 4 years. The payout schedule will be as follows: At closing the Company will issue 100,000 Shares to the Vendor; on the first anniversary of the agreement the Company will issue 100,000 Shares and will have a $25,000 work commitment; on the second anniversary the Company will issue 200,000 Shares and will have a $100,000 work commitment; on the third anniversary the Company will issue 600,000 Shares and will have a $250,000 work commitment; on the fourth and final anniversary, the Company will issue 1,000,000 Shares and will have a $625,000 work commitment.
