    TSX Venture Exchange has accepted for filing the documentation relating to
an amendment dated May 5, 2010 to an option agreement originally dated
December 28, 2007 (the "Agreement"). The amendment relates to the Meunier
property (the "Property"), located near Timmins, Ontario, in the Province of
Ontario. near Val-D'Or, Quebec (the "Property").
    Under the original Agreement, in order to acquire a 100% interest in the
Property, The Company was required to pay $100,000 total in cash ($50,000 of
which within the first year), issue a total of 1,000,000 common shares
(850,000 within the first year), and carry-out $2,000,000 in exploration
expenditures ($300,000 within the first year).
    Under the terms of the amendment, the Company must make an additional cash
payment of $25,000 and issue 200,000 common share purchase warrants to the
original optionors (in respect of their proportional interests in the
Property) in relation to the signed option agreement between the Company and
RT Minerals Corp. on the Property, and dated May 5, 2010. Each warrant
entitles the Holder to purchase one common share of the Company at a price of
$0.20/share for a period of five years following the closing of the
transaction.

exclusive to CO2 Solution for all work in the field of enzyme enhanced carbon
capture. CO2 Solution will also benefit from a license to all of Procede's

    As partial consideration for the services and access to the technology of
Procede under the Agreement, CO2 Solution issued warrants to Procede to
purchase 1,000,000 common shares of the Company at $0.24 per share,
exercisable until August 31, 2013. In addition, the Company will issue 50,000
options at a price of $0.20 per share to Procede for the ongoing role of Prof.
Geert Versteeg as a member of CO2 Solution's Scientific Advisory Board under
the terms of the Company's stock option plan.
