option agreement between Cassidy Gold Corp. ("Cassidy") and Island Arc
Exploration Corp. ("Island") dated November 12, 2009 (the "Agreement") under
which Island has granted to Cassidy an option (the "Option") to acquire up to
a 70% interest in the Nassile Gold Project (the "Property") located in Niger,
West Africa. Under the Agreement and in consideration of the grant of the
Option, Cassidy shall pay to Island the sum of $100,000 and issue to Island
200,000 common shares of Cassidy. In order to obtain an initial 51% interest
in the Property, Cassidy must incur an aggregate of $1,000,000 in expenditures
on the Property on or before the first anniversary date of this Bulletin. In
order to acquire an additional 9% interest in the Property for a total 60%
interest, Cassidy must incur an additional $2,000,000 in expenditures on the
Property on or before the third anniversary date of this Bulletin for an
aggregate $3,000,000 in expenditures on the Property. If Cassidy has the 60%
interest in the Property, it can acquire an additional 10% interest in the
Property for a total 70% interest by advising Island of its intention to
complete a bankable feasibility study at its sole cost within a period of five
years from the exercise of the option under which Cassidy will have acquired
the aggregate 60% interest in the Property.

    Insider/Pro Group Participation: James Gillis, Debra Silver, Christopher
Wild and Osvaldo Iadarola are all directors and/or officers of both Cassidy
and Island.
