'Qualifying Transaction'), as described in the Company's news releases dated
July 23, 2009 and September 24, 2009 and should not be construed as an

    The Company is required to submit all of the required initial
documentation relating to the Qualifying Transaction within 75 days of the
issuance of the news release. IF THIS DOCUMENTATION IS NOT PROVIDED, OR IS
INSUFFICIENT, A TRADING HALT MAY BE RE-IMPOSED.
    Completion of the transaction is subject to a number of conditions. Prior
to the Exchange granting final acceptance of the Qualifying Transaction, the
Company must satisfy the Exchange's Minimum Listing Requirements. There is a
risk that the transaction will not be accepted or that the terms of the
transaction may change substantially prior to acceptance. SHOULD THIS OCCUR, A

    TSX Venture Exchange Inc. (the "Exchange") has accepted for filing an
amended and restated Securities Exchange Agreement dated September 18, 2009
among Etna Resources Inc. (the "Company"), Sociedad Gareste Limitada
("Gareste"), PGM International S.A. Cerrada ("PGM") and the shareholders of
South American Lithium Company S.A. Cerrada ("SALICO") (the "Agreement").
Under the Agreement, Gareste agreed to form SALICO and to transfer its
interest in 36 concessions (the "Concessions") and interests located in the
Atacama Region III in Chile and the rights (the "Lithium Rights") to extract
and exploit lithium, lights metals and commercial salts contained in an
additional 12 concessions located at Salar Piedra Parada (the "Piedra Parada
Salar Concessions") and PGM will transfer to SALICO two concessions located at
La Laguna such that SALICO will hold rights in a total of 50 concessions.
SALICO will obtain the Concessions from Gareste by paying a 2% net smelter
return royalty on the Concessions and will obtain the Lithium Rights from
Gareste and PGM by paying: (a) a 2% net smelter return royalty (the "Piedra
Parada NSR") on all lithium, light metals, and commercial salts produced from
the Piedra Parada Salar Concessions; and (b) a payment to Gareste of US$2,000
per month as a lease or rental remittance to maintain the Piedra Parada Salar
Concessions through the exploration stage, which payments will increase to
US$5,000 per month at such time as the Piedra Parada Salar Concessions are
converted to exploitation status.
    The Company has agreed to purchase 100% of the common shares of SALICO
(the "SALICO Shares") from the shareholders of SALICO (with the exception of
one percent of the SALICO Shares being retained by one Chilean shareholder in
order to preserve the status of SALICO as a closed corporation in accordance
with Chilean law) in consideration for Etna issuing 10,600,000 common shares
to the SALICO shareholders. The Company has also agreed to pay US$50,000 to
Gareste on or prior to closing to cover costs incurred in connection with the
formation and organization of SALICO. In addition, the Company has agreed to
pay Gareste a monthly fee of US$25,000 to compensate it for its general and
administrative costs from the execution date to the closing date.
    In connection with the transaction the Company will issue 613,333 common
shares to MineGate Resource Capital Group upon the closing of the transaction
in consideration for services provided by the finder with respect to the
transaction.
