hectares of contiguous mineral claims located in the Stewart Mining Region of
British Columbia (the "Property") Under the Agreement, the Company can earn
the 100% interest in the Property by:

    1.  paying to BC Co an aggregate of $50,000 as to $25,000 on closing of
        the transaction under the Agreement (the "Closing Date") and as to
        $25,000 on or before 12 months from the Closing Date;

    2.  incurring an aggregate of $500,000 in exploration expenditures on the
        Property as to $250,000 on or before 12 months from the Closing Date
        and as to $250,000 on or before 24 months from the Closing Date; and

    3.  issuing an aggregate of 2,400,000 common shares of the Company to BC
        Co as to 1,200,000 on the Closing Date and as to 1,200,000 on or
        before 12 months from the Closing Date.

    The Agreement provides for a 3% net smelter royalty payable to BC Co of
which the Company can repurchase 1% for $1,000,000.
