The Company, through its concurrent Prospectus financing, is offering units for aggregate maximum gross proceeds of a $2,000,000 (the Offering).  The Company has completed an initial closing of the Offering for gross proceeds of $900,000 carried out by Industrial Alliance Securities Inc., through issuance of 4,500,000 units at a price of $0.20 per unit.  Each unit consists of one ordinary share of the Company (a Share) and one Share purchase warrant (a Warrant), with each Warrant exercisable at a price of $0.30 per Share for a period of 24 months after the date of issuance.  Subsequent to a date that is 12 months after listing, if the listed Shares close for any 20 consecutive trading days at a price of $0.40 or above, the Company will have the right to accelerate exercise of the Warrants, subject to certain conditions.

The Exchange has been advised that the Acquisition, approved by Shareholders on September 25, 2015, and an initial closing of the Offering, have been completed.  The Company proposes to complete a further tranche or tranches of the Offering.

Graduation from NEX to TSX Venture, Symbol Change

The Company has met the requirements to be listed as a TSX Venture Tier 2 Company.  Therefore, effective on Tuesday, October 27, 2015, the Company's listing will transfer from NEX to TSX Venture, the Company's Tier classification will change from NEX to Tier 2 and the Filing and Service Office will change from NEX to Calgary.

Effective at the opening on Tuesday, October 27, 2015, the trading symbol for the Company will change from QRL.H to GBE. 

Name Change

Pursuant to a resolution passed by shareholders on August 28, 2015, the Company has changed its name from Quartet Resources Limited to Goldbelt Empires Limited.  There is no consolidation of capital.

Effective at the opening on Tuesday, October 27, 2015, the ordinary shares of Goldbelt Empires Limited will be listed and halted on TSX Venture Exchange, and the ordinary shares of Quartet Resources Limited will be delisted.

The Company is classified as a 'Gold Ore Mining' company.
