The Initial Public Offering ("IPO") Prospectus dated March 27, 2015 (the "Prospectus") of Starlight U.S. Multi-Family (No. 4) Core Fund (the "Fund") has been filed with and accepted by TSX Venture Exchange, filed in Ontario and receipted by the Ontario Securities Commission, and filed in British Columbia, Alberta, Saskatchewan, Manitoba, Quebec, New Brunswick, Nova Scotia, Prince Edward Island and Newfoundland and Labrador and deemed to have been receipted by the securities regulator in each of these jurisdictions, pursuant to the provisions of the securities legislations in each of these jurisdictions.

The gross proceeds received by the Fund for the Offering were C$64.7 million, comprised of 1,613,422 Class A Units, 1,734,790 Class D Units, 656,950 Class F Units, 355,626 Class H Units and 500,000 Class C Units issued at C$10 per limited partnership unit and 795,200 Class E Units and 458,400 Class U Units issued at US$10 per limited partnership unit. Only Class A Units and Class U Units are to be listed on the TSX Venture Exchange (the "Listed Units"). The Class C Units, Class D Units, Class F Units and Class H Units are convertible into Class A Units. The Class E Units are convertible into Class U Units.  Gross proceeds noted in this bulletin have been calculated based on a rate of exchange of C$0.7940 for US$1.0000. The Fund has successfully completed the acquisition of two properties located in Orlando and Tampa, Florida comprising 688 multi-family residential units for an aggregate purchase price of approximately US$96.93 million.
