Bridgehouse Asset Managers Announces Securityholder Meetings to be Held by Electronic Means Français
TORONTO, April 29, 2020 /CNW/ - Bridgehouse Asset Managers (Bridgehouse), the retail trade name for Brandes Investment Partners & Co., today announced that the special meetings of Lazard Global Equity Income Fund, Lazard Emerging Markets Multi-Asset Fund and Lazard Defensive Global Dividend Fund (formerly, Lazard Global Managed Volatility Fund) (the "Meetings") scheduled for Tuesday, May 12, 2020 at 9:30am ET, will be held solely by means of electronic communication in support of public health efforts in managing COVID-19.
Securityholder Meeting Teleconference Line
In accordance with pubic health and government directives related to COVID-19 and to protect the health and safety of investors, our employees and the broader community, securityholders will no longer be able to attend the Meetings in-person. In place of an in-person meeting, Bridgehouse has made available a toll-free teleconference line where eligible securityholders may dial-in to the applicable Meeting to listen or ask questions. The toll-free teleconference line is 1-800-367-2403 (Confirmation Code: 9338819) and will be available on Tuesday, May 12, 2020 commencing at 9:15am ET.
Securityholders may not vote at the Meetings via the toll-free teleconference. All votes must be cast through our proxy agent as described below.
Voting Procedure
Securityholders are able to cast their vote(s) by proxy up until 11:59am on Tuesday, May 12, 2020 (the "voting deadline").
By Mail:
Completed proxies may be sent by mail to our proxy agent, Broadridge Investor Communication Solutions Inc., at Data Processing Centre, P.O. Box 3700, Stn Industrial Park, Markham, ON, L3R 9Z9 in the envelope provided to securityholders. To be valid, mailed proxies must be received by our proxy agent by the voting deadline.
By Fax, Telephone, Online:
Completed proxies may also be sent to our proxy agent by faxing the completed proxy to 905-507-7793, so that it arrives before the voting deadline. Investors can also vote by telephone at 1-800-474-7493 or online at www.proxyvote.com, in each case before the voting deadline.
In order to accommodate voting by proxy, each Meeting will be adjourned on Tuesday, May 12, 2020. Our proxy agent will tabulate the votes received, and the Meetings shall be resumed on Wednesday, May 13, 2020 commencing at 9:30 am ET, in order for the Meeting results to be announced. The adjourned meetings will also be held via toll-free teleconference line, at 1-800-367-2403 (Confirmation Code: 9338819), which will be available on Wednesday, May 13, 2020 at 9:15 am ET.
Meeting Materials
The meeting materials made available to securityholders on the Bridgehouse website at bridgehousecanada.com/2020vote and on SEDAR at www.sedar.com may continue to be used, however, any references to in-person meetings and the voting deadline should be disregarded. The meeting materials will not be updated to reflect the changes.
Bridgehouse encourages all securityholders to regularly visit its website at bridgehousecanada.com. Should further changes need to be made, including any adjournments, Bridgehouse will communicate to securityholders by way of press release and a notice posted to its website as soon as is practicable.
