MONTREAL, April 18, 2013 /CNW Telbec/ - HNZ Group Inc. (TSX: HNZ.A, HNZ.B) (the "Corporation"), an international provider of helicopter transportation and related support services, previously announced that it will hold an annual meeting of shareholders (the "Meeting") on May 15, 2013. At the Meeting, the Corporation intends to seek shareholder approval of a resolution to ratify the advance notice by-law (the "Advance Notice By-Law") adopted by the board of directors of the Corporation on April 15, 2013. Among other things, the Advance Notice by-Law sets a deadline by which shareholders must submit a notice of director nominations to the Corporation prior to any annual or special meeting of shareholders at which directors are to be elected. It also sets forth the information that a shareholder must include in the notice for it to be valid. The Advance Notice By-Law will allow the Corporation to receive adequate prior notice of director nominations, as well as sufficient information on the nominees, and it will facilitate an orderly and efficient meeting process.
The Advance Notice By-Law is in effect and applicable to director nominations in connection with the Meeting.
