FRNT Financial Inc. Announces BTC Purchases and Investor Relations Services Engagement
TORONTO, Sept. 2, 2025 /CNW/ - FRNT Financial Inc. (TSXV: FRNT) (OTCQB: FRFLF) (FSE: XZ3) (the "Company" or "FRNT") today announces the purchase of 1.29 BTC ('Bitcoin'), for an aggregate purchase price of C$200,000, or approximately US$112,640 per BTC. In total, FRNT now owns 4.44 BTC. The Company may look to opportunistically add to its BTC holdings when deemed appropriate.
In addition, FRNT also announces that it has engaged the services of Investor Insights Systems Inc. ("Investor Insights") pursuant to the terms of a marketing services agreement dated August 27, 2025 between the Company and Investor Insights (the "Agreement") to provide a comprehensive suite of digital marketing solutions designed to enhance brand visibility, investor engagement, and trading activity, in compliance with the policies and guidelines of the TSX Venture Exchange and other applicable legislation. Investor Insights will receive a fee of US$108,000 plus applicable taxes for the initial term of four (4) months (the "Initial Term"), with US$61,500 payable within 15 days of the entering into of the Agreement and the balance payable on the date that is two months after the entering into of the Agreement. The Agreement shall terminate on the earlier of: (i) the completion of the Initial Term, the date on which the prepaid fee has been exhausted, or upon seven (7) days prior written notice by either party, unless otherwise extended by mutual written agreement. There are no performance factors contained in the agreement and no stock options or other compensation are being granted in connection with the engagement. Investor Insights and its clients may acquire an interest in the securities of the Company in the future.
Investor Insights is an arm's length party to the Company.
FRNT also discloses that, further to its press release dated August 5, 2025 in which it announced the closing of its non-brokered private placement offering (the "Offering") for aggregate gross proceeds of $2 million, the Company paid an aggregate of $32,564 in finders fees to eligible finders in respect of subscriptions referred by such finders. In addition, an aggregate of 475,000 common shares issued to insiders under the Offering are subject to a four-month hold period pursuant to applicable policies of the TSX Venture Exchange.
