VANCOUVER, Feb. 20, 2018 /CNW/ - Universal-mCloud Corp. (TSX-V: MCLD) ("mCloud" or the "Company") is pleased to announce that it has entered into an agreement with Echelon Wealth Partners as lead agent (the "Lead Agent"), to undertake a fully marketed private placement of units of the Company (the "Units") for gross proceeds of up to C$3,000,000 at a price (the "Issue Price") of $0.35 per Unit (the "Offering").
Each Unit will be comprised of one common share of the Company and one-half of one common share purchase warrant of the Company. Each warrant will be exercisable at a price of $0.45 per share for a period of 36 months following the closing of the Offering, and will be subject to accelerated expiration if the 10-day volume weighted average trading price of the Company's common shares is, at any time, greater than C$0.80 per share.
In connection with the Offering, the Agents will receive a cash commission equal to 7% of the gross proceeds raised under the Offering, together with broker warrants equal to 7% of the number of Units sold pursuant to the Offering ("Broker Warrants"). Each Broker Warrant will be exercisable for one common share of the Company at a price of $0.45 per common share for a period of 24 months following the closing of the Offering.
The net proceeds from the Offering will be used for fulfilling recent M&A obligations, deal related expenses and general working capital purposes.

The Company expects that the Offering will close in early March. All securities issued by the Company in connection with this Offering will be subject to a statutory four month hold period. Completion of the Offering is subject to a number of conditions, including, without limitation, the Company and the Lead Agent entering into a binding agency agreement and receipt of all required regulatory approvals, including the approval of the TSX Venture Exchange.
