TSX Venture Exchange has accepted for filing documentation relating to a Purchase and Sale Agreement dated December 3, 2018, as amended on January 23, February 11 and March 25, 2019, between 2153477 Alberta Ltd. and Nobel REIT Limited Partnership, by its general partner Nobel REIT GP Inc. - a subsidiary limited partnership ("Nobel") controlled by Nexus Real Estate Investment Trust (the "Trust"), whereby the Trust will acquire a portfolio of four single-tenant industrial properties located in Fort St John, British Columbia, Blackfalds and Medicine Hat, Alberta and Estevan, Saskatchewan.

As consideration, the Trust has paid an aggregate of $16,236,610 in cash and issued 7,030,186 units of Nobel at a price of $2.10 per unit.

The consideration payable by the Company over a period of four years consists of a total cash payment of $250,000, a total of $3,100,000 in mining exploration expenditures, the issuance of 7,000,000 common shares of the Company, the issuance of 400,000 warrants to purchase 400,000 common shares at a price of $0.15 per share for a period of 18 months from the date of issuance and the issuance of 1,600,000 warrants to purchase 1,600,000 common shares at a minimum price of $0.125 per share for a period of 18 months from the date of issuance.

The former owner of Rim, Dome and Bonanza properties will retain a 2% Net Smelter Royalty the first half of which (1%) may be repurchased for a sum of $1,000,000 and the remaining half for $10,000,000.

The former owner of Grog property will retain a 1% Net Smelter Royalty on 3 of the mining claims comprising the Grog property.
