(the "Company"; "Urbangold") and Quebec Precious Metals Corporation (the "Vendor"), an arm's length party to the issuer, in connection with the acquisition of 100% interest in the Chemin Troilus Property (the "Property"). The Property consists of 61 claims totaling 3,314 hectares, located in the Troilus Gold Corridor in the province of Quebec.
