Further to the Company's news releases dated February 4, 2019, April 8, 2019 and April 10, 2019, the common shares of Lorraine Copper Corp. (the "Company") will be delisted from TSX Venture Exchange effective at the close of business on April 12, 2019.

The delisting of the Company's common shares results from the completion of an arrangement with Sun Metals Corp. ("Sun Metals") pursuant to a plan of arrangement under the Business Corporations Act (British Columbia) (the "Arrangement"). Pursuant to the Arrangement, which is intended to close April 12, 2019, Sun Metals will acquire all of the Company's shares in exchange for 0.54 of a common share of Sun Metals ("Shares") for each Company's common share (the "Exchange Ratio"). Upon closing of the Arrangement: (i) all outstanding stock options of the Company will be exchanged for options to purchase Shares on the basis of the Exchange Ratio; and (ii) all unexercised share purchase warrants of the Company will be exchanged for warrants to purchase Shares on the basis of the Exchange Ratio and will expire in accordance with their current expiry dates.

The arrangement was approved by the Company's securityholders at a special securityholders' meeting held on April 5, 2019, and was approved by the Supreme Court of British Columbia on April 10, 2019.

Aggregate cash consideration for the additional 8.5% interest is US$3,698,000.
