  2. An asset purchase agreement (the "Asset Purchase Agreement") between the Company and Afrasia Mining & Energy Investment Holdings ("Afrasia") pursuant to which the Company will acquire exploration and metallurgical data in the Kapili Tepe Project from Afrasia.

As consideration under the Share Purchase Agreement the Company will:

    1. issue 3,500,000 shares in the capital of the Company to Baltic on closing;

    2. issue common shares to Baltic in the value of CAD$2,400,000 upon completion of a resources estimation prepared in accordance with CIM definitions and compliant with National Instrument 43-101 ("NI 43-101"), estimating an inferred resource totaling a minimum of 20 million tonnes at a minimum grade of 1% Cu equivalent; and

    3. issue additional common shares to Baltic for a valuation of CAD$2,000,000 where the first resources estimation prepared in accordance with CIM definitions and compliant with NI 43-101 or any further NI 43-101 compliant resource estimation, estimates an inferred resource totaling a minimum of 100 million tonnes at a minimum grade of 1% Cu equivalent.

As consideration under the Asset Purchase Agreement the Company will:

    1. issue 700,000 shares in the capital of the Company to Afrasia on closing;

    2. issue common shares to Afrasia for a valuation of CAD$360,000 upon completion of a resources estimation prepared in accordance with CIM definitions and compliant with NI 43-101, estimating an inferred resource totaling a minimum of 20 million tonnes at a minimum grade of 1% Cu equivalent; and

    3. issue additional common shares to Afrasia for a valuation of CAD$300,000 where the first resources estimation prepared in accordance with CIM definitions and compliant with NI 43-101 or any further NI 43-101 compliant resource estimation, estimates an inferred resource totaling a minimum of 100 million tonnes at a minimum grade of 1% Cu equivalent.
