Effective at the opening, Tuesday, July 2, 2019, trading will be reinstated in the securities of the Company (new CUSIP 381721 10 9) under the new symbol "GOLO" on TSX Venture Exchange.
Qualifying Transaction-Completed/New Symbol
TSX Venture Exchange has accepted for filing the Company's Qualifying Transaction described in its Information Circular dated May 24, 2019. As a result, at the opening on Tuesday, July 2, 2019, the Company will no longer be considered a Capital Pool Company. The Qualifying Transaction includes the following:
The Qualifying Transaction involves the Amalgamation of a subsidiary of the Company with GOLO Inc. for consideration of 113,235,292 shares at a deemed price of $0.17 per share. The Amalgamation is a related party transaction.
97,058,822 shares issued to Principals pursuant to the Qualifying Transaction will be subject to a Tier 2 Surplus Security Escrow Agreement to be released over a 36-month period. 10,000,000 shares are subject to a CPC Escrow Agreement to be released over a 36-month period.

The consideration payable by the Company consisted of the issuance of a total of 1,500,000 common shares over a period of 3 years, cash payments of a total of $150,000 over a period of 4 years, and 3% net smelter return (NSR) to the Vendor. The amendment witnesses that the last cash payment, due January 20, 2020, of $50,000 be settled by the issuance of 83,333 common shares and an immediate payment of $25,000, therefore resulting in the acquisition of 100% right and interest in and to the property.
