Effective Tuesday, March 26, 2019, the Company's Prospectus dated March 26, 2019 was filed with and accepted by TSX Venture Exchange, and filed with and receipted by each of the Provinces of Canada, other than Québec, pursuant to the applicable Securities Acts in each of the Provinces of Canada, other than Québec.  

TSX Venture Exchange has been advised that closing occurred on April 2, 2019, for gross proceeds of $28,750,073.60 (including $3,750,009.60 from full exercise of the over-allotment option).

Eight Capital and Canaccord Genuity Corp.



Offering: 

21,139,760 units, including 2,757,360 units from full exercise of the over
-allotment option. Each unit consisting of one common share and one-half of
one common share purchase warrant (each whole common share purchase
warrant, a "Warrant").



Unit Price: 

$1.36 per unit



Warrant Exercise Price/Term:

$1.72  per share for 60 months from closing, subject to accelerated expiry stated below.



Underwriter Options:

1,195,416 non-transferable compensation options exercisable to purchase one
unit at $1.36 per unit for 36 months from closing. Each unit consisting of one
common share and one-half of one common share purchase warrant.

The Underwriters were also paid cash commission in the aggregate amount of $1,625,756 from the gross proceeds of the Offering.

Effective at the opening Thursday, April 4, 2019, the Warrants of the Company will commence trading on TSX Venture Exchange.  The Company is classified as a 'Life Sciences' company.

The Warrants were issued pursuant to the Company's Short Form Prospectus dated March 26, 2019.  One Warrant entitles the holder to purchase one common share at a price of $1.72 per share and will expire on April 2, 2024, subject to accelerated expiry stated below.

If, at any time prior to April 2, 2024 (the "Warrant Expiry Date"), the volume weighted average trading price of the common shares of the Company on the TSX Venture Exchange equals or exceeds $3.30 per common share for 10 consecutive trading days, the Company may, within 10 days of the occurrence of such event, deliver written notice to the holders of Warrants and to the Warrant agent, supplemented by way of a press release issued by the Company, accelerating the expiry date of the Warrants from the Warrant Expiry Date to the date that is 30 days following the date of such notice (the "Accelerated Expiry Date"). Any unexercised Warrants shall automatically expire at the end of the Accelerated Expiry Date.
