(the "Company") and Cairngorm Mines Limited (the "Vendor"), whereby the Company can acquire up to a 100% interest of the Beaver Silver Property, which is located in the Thunder Bay silver district and covers silver-bearing veins of the Rabbit Mountain group of deposits.
Under the terms of the Agreement, the Company has agreed to pay $125,000 in cash, issue common shares equal to an aggregate market value of $410,000 and incur a total of $750,000 of exploration expenditures over the period of three years. Additionally, the Company has agreed to grant on a pro-rata basis to the Vendor a two percent (2%) net smelter return royalty, of which 1% may be purchased by the Company in consideration of a $1,000,000 cash payment.
