The value of the additional common shares of the Company to be issued upon completion of a resource estimation prepared in accordance with CIM definitions and compliant with National Instrument 43-101, estimating an inferred resource totaling a minimum of 20 million tonnes at a minimum grade of 1% Cu equivalent has been reduced from CAD$2,400,000 to CAD$2,000,000; and

  3. A cash payment of CAD$150,000 is due to Jeanette Gyldstoff Borg conditional on the Company completing an equity financing of CAD$1,000,000 following closing of the Share Purchase Agreement.

Prior to the issuance of additional shares of the Company under Share Purchase Agreement, as amended by the Amending Agreement and under the Asset Purchase Agreement (approved under the Exchange bulletin of July 5, 2018), the Company must make further application for approval to the Exchange.
