Plan of Arrangement:

Equinox Gold Corp. ("Equinox") has received a final order from the Supreme Court of British Columbia dated July 30, 2018 and shareholder approval on July 26, 2018 for its proposed Plan of Arrangement (the "Arrangement") to reorganize its business, including the spin-off of its wholly owned subsidiary, Solaris Copper Inc. ("Solaris Copper").

The Plan of Arrangement is fully described in Equinox's Information Circular dated June 20, 2018.

Substitutional Listing:

In accordance with the above-referenced Arrangement, Equinox shareholders who previously held common shares (the "Old Shares") will have their Old Shares redesignated as Class A common shares and exchanged for (i) one new common shares (the "New Shares") and (ii) one-tenth of a Solaris Copper share for each Old Share of Equinox held before the effective date of the transaction. Accordingly, New Shares of Equinox will be listed on the Exchange at the market opening Friday, August 3, 2018.
