1. Acquisition of all of the shares of PureSinse Inc.:
On May 17, 2018 Royal Sapphire entered into an amalgamation agreement (the "Amalgamation Agreement") with PureSinse Inc. ("PureSinse") and 2627000 Ontario Inc. ("Subco"), a wholly-owned subsidiary of Royal Sapphire. Pursuant to the Amalgamation Agreement, Subco and PureSinse amalgamated to form an amalgamated company which is a wholly-owned subsidiary of Royal Sapphire and Royal Sapphire acquired all of the issued and outstanding PureSinse shares in exchange for the issuance of an aggregate of 75,574,447 resulting issuer shares to the existing PureSinse shareholders on a basis of one (1) resulting issuer share for every one (1) PureSinse share.
PureSinse is a life sciences cannabis company based in Toronto. The company is a licensed producer under the Access to Cannabis for Medical Purposes Regulations and is focused on producing cannabis products for medical, wellness, and future legal adult recreational use, from its 18,000 square foot facility located in Brampton, Ontario.
