Extension of Deadline to use Mandatory Electronic Filings

TSX Venture Exchange (the "Exchange") refers to its Bulletin dated December 14, 2017 in which the Exchange provided notice that the Exchange was amending its Form 2A - Personal Information Form (the "Paper PIF") and the related Form 2C1 - Declaration (the "Paper Declaration") to facilitate the filing of the forms online (the "Electronic PIF" and "Electronic Declaration", respectively), which is expected to result in time and cost savings for persons filing these forms. Individuals must now create an account and log on to the TMX Portal to access, complete and submit to the Exchange the Electronic PIF or Electronic Declaration. The Electronic PIF and Electronic Declaration can be accessed on the TMX Portal at: www.tmx.com/pif. Instructions and frequently asked questions can also be found on the TMX Portal.

The Electronic PIF and Electronic Declaration became effective on December 18, 2017. However, the Exchange had indicated that it would continue to accept the notarized Paper PIF and Paper Declaration until June 30, 2018 (the "Paper Filing Deadline"). The Exchange is providing notice to its Issuers that it is extending the Paper Filing Deadline to September 30, 2018, provided that all of the required information, identification, OPP Security Screening Check (Exhibit 1 to the Paper PIF) and notarization are provided to the Exchange by such date. After September 30, 2018, only the Electronic PIF and Electronic Declaration will be accepted by the Exchange. Although the Exchange will continue to accept the Paper PIF and Paper Declaration in the interim, the Exchange encourages individuals to use the Electronic PIF and Electronic Declaration.

Criminal Record Check

A completed Canadian criminal record search is required for all current and previous residents of Canada and citizens of Canada ("Canadian Participant") proposed to be involved in our markets as a director, officer or insider of a listed issuer or as a person performing promotional, investor relations or market-making activities for a listed issuer. In order to complete the Canadian criminal record check, upon the initial submission of the Electronic PIF, Canadian Participants will receive a separate e-mail invitation from Sterling Talent Solutions ("Sterling") with a link to access Sterling's portal. This e-mail is sent to the e-mail address provided by the Canadian Participant in his or her Electronic PIF. The link included in the e-mail will expire within 90 days of receiving the e-mail invitation from Sterling and should be accessed and acted upon as soon as possible.

Should the Sterling link expire, the Exchange will email the Canadian Participant providing a new invitation link and requesting the individual to complete the Canadian criminal record check. If a Canadian Participant is unable to complete the Canadian criminal record check, is having difficulty completing this check, or where the invitation link has expired, he or she should send an e-mail to [email protected].

Please note that the Exchange considers the PIF incomplete for Canadian Participants unless the Criminal record check forms have been completed and submitted. Incomplete PIFs will not be cleared by the Exchange.

Report de la date d'entrée en vigueur de l'utilisation obligatoire des dépôts électroniques

Dans son bulletin daté du 14 décembre 2017, la Bourse de croissance TSX (la « Bourse ») a fait état des modifications apportées à son Formulaire 2A – Formulaire de renseignements personnels (le « RFP en version papier ») et à son Formulaire 2C1 – Déclaration (la « Déclaration en version papier ») dans le but de permettre le dépôt des formulaires en ligne (respectivement le « FRP électronique » et la « Déclaration électronique »), ce qui devrait se traduire par une économie de temps et d'argent pour ceux qui doivent déposer ces formulaires. Ces personnes doivent désormais créer un compte, puis se connecter au Portail de TMX pour accéder au FRP électronique ou à la Déclaration électronique de la TSX afin de les remplir et de les présenter. Le FRP électronique et la Déclaration électronique sont accessibles dans le Portail de TMX, au www.tmx.com/pif. Des directives et une foire aux questions se trouvent également dans le Portail de TMX.

L'utilisation du FRP électronique et de la Déclaration électronique est entrée en vigueur le 18 décembre 2017. Cependant, la Bourse a indiqué qu'elle continuera d'accepter la version papier notariée du FRP et de la Déclaration jusqu'au 30 juin 2018 (la « date limite pour le dépôt en version papier »). La Bourse annonce par la présente à ses émetteurs qu'elle reporte au 30 septembre 2018 la date limite pour le dépôt en version papier, pourvu que tous les renseignements exigés, les pièces d'identité, l'attestation de vérification de casier judiciaire par la Police provinciale de l'Ontario (Annexe 1 du FRP en version papier) et les documents notariés soient remis à la Bourse au plus tard à cette date. Après le 30 septembre 2018, seuls le FRP électronique et la Déclaration électronique seront acceptés par la Bourse. La Bourse continuera d'accepter le FRP en version papier et la Déclaration en version papier dans l'intervalle, mais elle encourage les utilisateurs à opter pour le FRP électronique et la Déclaration électronique.

Vérification du casier judiciaire

La réalisation d'une vérification du casier judiciaire canadien est requise pour tout résident ou citoyen canadien actuel ou ancien (« participant canadien ») proposé pour agir à titre d'administrateur, de dirigeant ou d'initié d'un émetteur inscrit, ou à titre de personne exerçant des activités de promotion, de relations avec les investisseurs ou de tenue de marché pour un émetteur inscrit. Après la soumission initiale du FRP électronique, le participant canadien reçoit un courriel d'invitation distinct de Sterling Talent Solutions (« Sterling ») contenant un lien donnant accès au portail de Sterling aux fins de la réalisation de la vérification du casier judiciaire canadien. Ce courriel est envoyé à l'adresse indiquée par le participant canadien dans son FRP électronique. Le lien inclus dans le courriel est valide pendant 90 jours à compter de la date de réception de l'invitation de Sterling. Il convient de cliquer sur le lien et de suivre les instructions le plus rapidement possible.

Si le lien fourni par Sterling n'est plus valide, la Bourse enverra au participant canadien un courriel contenant un nouveau lien et lui demandant de réaliser la vérification du casier judiciaire canadien. Veuillez noter que la Bourse considère le FRP d'un participant canadien comme étant incomplet tant que les formulaires de vérification du casier judiciaire n'ont pas été remplis et soumis. Les FRP incomplets ne seront pas acceptés par la Bourse.
