The TSX Venture Exchange (the "Exchange") has accepted for filing documentation in connection with an amalgamation agreement dated March 2, 2018 entered into between Red Eagle Mining Corporation ("Red Eagle Mining") and Red Eagle Exploration Limited ("Red Eagle Exploration"), pursuant to which Red Eagle Mining agreed to acquire all of the issued and outstanding shares of Red Eagle Exploration by way of an amalgamation (the "Amalgamation"). Under the Amalgamation, Red Eagle Mining acquired all of the issued and outstanding common shares of Red Eagle Exploration not already owned by it. Pursuant to the terms of the Amalgamation, Red Eagle Exploration shareholders received one (1) common share of Red Eagle Mining for every two (2) Red Eagle Exploration shares held.

The Exchange has been advised that approval of the Amalgamation by security holders of Red Eagle Exploration was received at a special meeting of the security holders held on April 5, 2018.

The full particulars of the Amalgamation are set forth in Red Eagle Exploration's information circular (the "Circular") dated March 2, 2018, which is available under Red Eagle Exploration's profile on SEDAR. Red Eagle Exploration security holders should refer to the Circular for a summary of the procedures regarding the exchange of Red Eagle Exploration securities for the consideration to which they are entitled under the Amalgamation.

Delisting:

In conjunction with the closing of the Amalgamation, the common shares of Red Eagle Exploration will be delisted from the Exchange.  Accordingly, effective at the close of business, Wednesday, April 25, 2018 the common shares of Red Eagle Exploration will be delisted.

TSX Venture Exchange has accepted for filing a share purchase agreement (the "Share Purchase Agreement) among Cannabis Wheaton Income Corp. (the "Company") and the shareholders of Robinson's Cannabis Incorporated ("Robinson's") to acquire all of the issued and outstanding shares of Robinson's (the "Robinson's Shares").

Located in Kentville, Nova Scotia, Robinson's is a privately-owned, late-stage licensed producer applicant under the Access to Cannabis for Medical Purposes Regulations (the "ACMPR"). Robinson's has successfully completed Health Canada's paper-based review process and is currently in the "Confirmation of Readiness" ("COR") stage. Robinson's is actively working to complete the build-out of its proposed cultivation facility and provide a COR submission to Health Canada in order to meet the licensing requirements of the ACMPR.

Pursuant to the Share Purchase Agreement, the Company will acquire all of the issued and outstanding shares of Robinson's (the "Acquisition"). Upon the completion of the Acquisition, Robinson's will become a wholly-owned subsidiary of the Company.

As consideration for the Robinson's Shares, the shareholders of Robinson's are entitled to receive aggregate consideration of 9,395,968 common shares in the capital of the Company, as follows:

  1. 5,369,126 common shares upon closing of the Acquisition;

  2. 2,013,421 common shares issued and held in escrow to be released to the shareholders of Robinson's upon Robinson's receiving a cultivation license under the ACMPR; and

  3. 2,013,421 common shares issued and held in escrow to be released to the shareholders of Robinson's upon Robinson's receiving a sales authorization under the ACMPR.
