Change of Business/Reverse Takeover

TSX Venture Exchange has accepted for filing the Company's Change of Business, with Genesis Mining Limited ("Genesis"): whereby Genesis will supply, install, operate and maintain data centres used for the purposes of running diverse cryptographic functions in connection with the mining of cryptocurrency. The Company will own the hardware in the data centres and any cryptocurrency mined.

The Company's change of business includes the acceptance of the following transactions (collectively, the "Transactions")

  • A transaction agreement, dated September 13, 2017 through which the Company has acquired a data centre in Iceland for US$9,000,000 and the issuance of 67,975,428 common shares in the Company to Genesis;
  • A Master Services Agreement dated September 13, 2017 whereby Genesis will provide design, selection, installation, configuration, management, operation, security, maintenance and support of the Data Centre(s). Genesis will manage the Data Centres through the use of its proprietary data centre monitoring software other necessary software. Genesis will select, supply, sell and deliver to Customer the specialized hardware, including PSUs, CPUs and boards, required to run the Data Centre(s) pursuant to this Master Services Agreement, a service order for services specific to the Company's acquired facility was entered into for compensation of a monthly fee to Genesis of US$144,650.
  • A Master Data Centre Equipment Purchase Agreement, dated September 13, 2017, through which Genesis will identify and sell to the Company additional hardware used for the purposes of running diverse cryptographic functions in connection with the mining of cryptocurrency, and the rights to host such hardware, pursuant to this Master Data Centre Equipment Purchase Agreement, a purchase order was entered into whereby the Company will acquire the Iceland Data Centre for US$9,000,000;
  • Investor Rights Agreement, dated September 13, 2017 (collectively, the "Agreements") if the Company proposes to issue any Offered Securities pursuant to a public offering, a private placement or otherwise (an "Offering") at any time after the date hereof, the Company will, as soon as possible after the public announcement of the Offering, give written notice of the Offering (the "Offering Notice") to the Investor the right to purchase up to such number of Common Shares or Securities (other than Common Shares) that will allow the Investor to maintain the same percentage ownership interest in the issued and outstanding Common Shares as the Investor held immediately prior to the completion of such Offering

The Company will be paying a Finder's Fee of 3,398,771 shares to Olivier Roussy Newton, who was arm's length at the time the Finder's Fee agreement was entered into.
