TSX Venture Exchange has accepted for filing an option agreement for purchase of shares dated arrangement February 28, 2017 and as amended on May 29, 2017 (collectively, the "Option Agreement") between PentaNova Energy Corp. (the "Company"), Blue Pacific Assets Corp ("Blue Pacific") and Patagonia Oil Corp. ("Patagonia"), and an arrangement agreement dated July 31, 2017 (the "Arrangement Agreement") between the Company and 1119139 B.C. Ltd ("PentaNova Subco"), Blue Pacific, 1119190 B.C. Ltd. ("BP Subco") and Patagonia whereby Blue Pacific has granted to the Company the option to acquire all of the issued and outstanding shares of Patagonia and assume its obligations.


Patagonia has obligations to acquire a 39% interest in Llancanelo Exploitation Asset, a 100% interest in the Km8 assets, an 18% carried interest in the La Mariposa assets, a 54.14% interest in the SRDE Production asset and a 7.92% interest in the SRDE Exploitation Asset (collectively, the "Assets").

In order to acquire the Assets, the Company must pay an aggregate of US$10,000 cash to Blue Pacific and pay US$10,100,000 cash on closing, a further US$2,300,000 in cash within five months of closing and issue 35,626,500 units to the vendors of the Assets and in which each unit consists one common share in the Company and one warrant to buy one common share at an exercise price of $1.05 over a 5 year period.

There is a 2% overriding royalty interest on the Llancanelo asset and the Km8 assets granted to Dexton International Limited.

In addition, a finder's fee will be paid as follows:

  • 1,065,000 common shares in the Company to be issued to Fiore Management & Advisory Group
  • 750,000 common shares in the Company to be issued to Frontier Hydrocarbon
  • 234,375 common shares in the Company to be issued to EuroLatin Capital
  • 234,375 common shares in the Company to be issued to Saul Ziperovich

The transaction is arm's length.
