TSX Venture Exchange has accepted for filing documentation pertaining to the Asset Purchase Agreement (the "Agreement") dated November 13, 2018, between Enthusiast Gaming Inc., the Company's wholly-owned subsidiary, (the "Subsidiary") and several arm's length parties (collectively, the "Vendors"), whereby the Company can acquire through the Subsidiary all assets of Operation Sports LLC, online sports video gaming news and community forums.
Under the terms of the Agreement, the Company has agreed to pay US$250,000 and issue an aggregate of 117,924 common shares. Additionally, the Vendors will receive earn out payments for two years following the completion of the acquisition equal to 50% of the gross revenue received by the Company from purchased assets less the costs and expenses incurred.
