Change of Business

TSX Venture Exchange (the "Exchange") has accepted for filing Cobalt 27 Capital Corp.'s (the "Company's") Change of Business (the "COB"), as principally described in its long form prospectus (the "Prospectus") dated June 16, 2017 and news releases dated April 24, 2017 and June 16, 2017. 

Pursuant to the COB, the Company's business has changed from being a Mining Issuer to an Investment Issuer.

The COB includes the following matters, all of which have been accepted by the Exchange:

  • The acquisition of 2,157.5 metric tonnes of physical cobalt from eighteen (18) vendors for consideration of $78,519,245 in cash and 11,297,805 (post-consolidation) common shares of the Company (see "Prospectus-Share Offering" below); and
  • The acquisition of eight royalty interests in exploration projects for aggregate consideration of 127,778 (post-consolidation) common shares of the Company.

Prospectus-Share Offering

Effective June 19, 2017, the Company's Prospectus was filed with and accepted by the Exchange and filed with and receipted by the Ontario Securities Commissions, pursuant to the provisions of the Ontario Securities Act.

The Prospectus was filed under Multilateral Instrument 11-102 Passport System in British Columbia, Alberta, Saskatchewan, Manitoba, New Brunswick, Nova Scotia, Prince Edward Island, Newfoundland and Labrador, Northwest Territories, Yukon and Nunavut. A receipt for the Prospectus is deemed to be issued by the regulator in these jurisdictions, if the conditions of the Instrument have been satisfied.

The Exchange has been advised that closing of the prospectus offering (the "Offering") will occur prior to market open on June 23, 2017, for gross cash proceeds of $98,319,780. Further to the Company's Change of Business, as described above, 11,297,805 (post-consolidation) common shares are also being issued for physical cobalt.
