TSX Venture Exchange Inc. (the "Exchange") has accepted for filing documentation in connection with an arrangement agreement between Bellhaven Copper & Gold Inc. ("Bellhaven") and Goldmining Inc. ("Goldmining") dated April 11, 2017 (the "Agreement"). Pursuant to the Agreement, Goldmining has agreed to acquire all of the issued and outstanding common shares of Bellhaven by way of a plan of arrangement under the provisions of the Business Corporations Act (British Columbia) (the "Transaction"). Under the Agreement, each Bellhaven shareholder will be entitled to receive 0.25 of a common share of Goldmining for each common share of Bellhaven held and existing warrants and options of Bellhaven will become exercisable into GoldMining common shares based on the exchange ratio in accordance with their existing terms.
The Exchange has been advised that approval of the Transaction by the Bellhaven shareholders was received at a special meeting of shareholders held on May 23, 2017 and that approval of the Transaction was received from the British Columbia Supreme Court on May 25, 2017. The Transaction completed on May 30, 2017. The full particulars of the Transaction are set forth in the Management Information Circular of Bellhanen, dated as of April 21, 2017, which is available under the Bellhaven profile on SEDAR.
Delisting:
In conjunction with the closing of the Transaction, Bellhaven has requested that its common shares be delisted. Accordingly, effective at the close of business, Tuesday May 30, 2017, the common shares of Bellhaven will be delisted from the Exchange.
Insider / Pro Group Participation: None. Prior to the closing of the Transaction Bellhaven and Goldmining were at arm's length.
