Upon closing of the Company's acquisition transaction (the "Acquisition"), each Receipt will entitle the holder thereof to receive, without payment of additional consideration or any further action on the part of the holder thereof, one common share ("Share") and one-half of one common share purchase warrant ("Warrant") upon satisfaction of the Escrow release conditions and release of the escrowed funds in connection with the closing of the acquisition. Each whole Warrant will entitle the holder to acquire one Share at an exercise price of $3.50 for 12 months following closing of the acquisition.

Underwriter's  Commission:

Cash commission equal to 6.0% of the gross proceeds of the Offering to be paid to the Agents.


Greenshoe Option:

The Agents may over-allot the Receipts in connection with this offering and the Company has granted to the Agents, an option to purchase up to an additional 750,000 Receipts at a price of $3.00 per Receipt at any time within 30 days following the closing date of the Offering.
