Offer to Purchase and Interim Agreement among Cobalt, Jean Marc Gaudreau and Don Thomas Fudge dated April 17, 2017 pursuant to which Cobalt has agreed to purchase one mining claim located in the Larder Lake Mining Division in the Lorrain Township of Ontario, Canada in consideration of the issuance of 200,000 common shares and the cash payment of $1,000.
