Re:      New Form 2A Personal Information Form
            New Form 2C1 Declaration
        

Effective December 22, 2016, TSX Venture Exchange (the "Exchange") has amended its Form 2A Personal Information Form (the "New PIF") and the related Form 2C1 Declaration (the "New Declaration"). Concurrently, the Toronto Stock Exchange is making identical amendments to its Form 4 Personal Information Form and Form 4B Declaration, so that the same forms will be used by both stock exchanges. Subject to the transition period described below, the New PIF replaces the existing Form 2A Personal Information Form (the "Old PIF") and the New Declaration replaces the existing Form 2C1 Declaration (the "Old Declaration").

The changes serve to:

  1. clarify that only past and present residents of Canada need to complete Exhibit 1 to the New PIF and Exhibit 1 to the New Declaration;

  2. clarify that electronic communication may not be secure;

  3. update the language in Exhibit 2 to the New PIF and Exhibit 2 to the New Declaration; and

  4. allow the Exchange to start building out back end systems that will streamline client onboarding and communications, including the facilitation of a fully digital PIF experience.

While the New PIF and New Declaration are effective immediately, the Exchange will continue to accept the Old PIF and the Old Declaration until March 31, 2017, provided that all of the required information, identification and notarization are provided to the Exchange by such date. After March 31, 2017, only the New PIF and New Declaration will be accepted.

While these updates are being implemented to address certain immediate needs, the Exchange also anticipates making further changes to the forms of Personal Information Form and Declaration in 2017 to make them faster and easier to complete and process, including the ability to complete the forms electronically on-line.

Objet : Nouveau formulaire 2A – Formulaire de renseignements personnels
Nouveau formulaire 2C1 – Déclaration

Le 22 décembre 2016, la Bourse de croissance TSX (la « Bourse ») a modifié son formulaire de renseignements personnels 2A (le « nouveau FRP »), ainsi que le formulaire de déclaration 2C1 afférent (le « nouveau formulaire de déclaration »). Simultanément, la Bourse de Toronto a procédé aux mêmes modifications à l'égard de son formulaire 4 de renseignements personnels et de son formulaire 4B de déclaration, de sorte que les deux bourses utilisent des formulaires identiques. Suivant la période de transition précisée ci-dessous, le nouveau FRP remplace le formulaire 2A existant (l'« ancienne version du FRP ») et le nouveau formulaire de déclaration remplace le formulaire 2C1 existant (l'« ancienne version du formulaire de déclaration »).

Les modifications apportées vont permettre de:

  1. préciser que seules les personnes qui ont résidé ou qui résident au Canada doivent remplir les annexes 1 du nouveau FRP et du nouveau formulaire de déclaration;

  2. préciser que les communications électroniques ne sont pas nécessairement sécurisées;

  3. mettre à jour le libellé des annexes 2 du nouveau FRP et du nouveau formulaire de déclaration;

  4. permettre à la Bourse de développer des systèmes de gestion qui simplifieront l'accueil des clients et les communications afférentes, notamment grâce à la mise en place d'un FRP entièrement numérique.

Même si les nouveaux formulaires entrent en vigueur immédiatement, la Bourse continuera d'accepter les anciennes versions du FRP et du formulaire de déclaration jusqu'au 31 mars 2017, pourvu qu'elle obtienne l'ensemble des renseignements, des données d'identification et des certifications qui s'imposent. Après cette date, la Bourse exigera l'utilisation des nouvelles versions du FRP et du formulaire de déclaration.

Con efecto a partir del 22 de diciembre de 2016, TSX Venture Exchange (la "Bolsa") enmendó su  Formulario 2A – Formulario de Información Personal (el "nuevo Formulario de Información Personal") y el Formulario 2C1 – Declaración (la "nueva Declaración") correspondiente. De manera paralela, la Toronto Stock Exchange procedió a la enmienda idéntica de su Formulario 4 – Formulario de Información Personal y su  Formulario 4B – Declaración, a fin de que ambas Bolsas utilicen los mismos formularios. Sujeto al período de transición descrito a continuación, el nuevo Formulario de Información Personal sustituye el Formulario 2A – Formulario de Información Personal actual (el "antiguo Formulario de Información Personal") y el Formulario 2C1 actual – Declaración (la "antigua Declaración").

Las modificaciones sirven para:

  1. precisar que solo los ex residentes y residentes actuales de Canadá necesitan llenar el Anexo 1 del nuevo Formulario de Información Personal y de la nueva Declaración;

  2. precisar que las comunicaciones efectuadas por vía electrónica pueden no ser seguras;

  3. actualizar la formulación del Anexo 2 conforme al nuevo Formulario de Información Personal y el Anexo 2 conforme a la nueva Declaración; y

  4. permitir que la Bolsa comience a desarrollar sistemas computacionales ejecutables en la parte del servidor que agilicen el proceso de integración de clientes y las comunicaciones, incluidos los medios para facilitar un Formulario de Información Personal totalmente digital.

Si bien el nuevo Formulario de Información Personal y la nueva Declaración entran en vigor inmediatamente, la Bolsa continuará aceptando el antiguo Formulario de Información Personal y la antigua Declaración hasta el 31 de marzo de 2017, toda vez que la información, identificación y certificación notarial requeridas sean proporcionadas a la Bolsa antes de dicha fecha. Después del 31 de marzo de 2017, la Bolsa aceptará únicamente el nuevo Formulario de Información Personal y la nueva Declaración.
