TSX Venture Exchange has accepted for filing documentation relating to a share purchase agreement (the "Agreement") signed July 30, 2016, as amended September 1, 2016, between a non-arm's length entity, RG Renovatio Group Limited, and Aurel Florin Arion (collectively, the "Sellers") and two wholly owned subsidiaries of Transeastern Power Trust (the "Trust").  Pursuant to the Agreement, the Trust shall acquire all of the issued and outstanding shares of Holrom Renewable Energy SA.

As consideration, the Trust will pay an aggregate of EUR14,080,797 to the Sellers, payable by the issuance of:

-      14,790,136 trust units;
-      $2,071,000 principal amount of 7.5% convertible debentures, convertible into trust units at a conversion price of $1.25, maturing May 29, 2019;
-      EUR5,188,023 vendor take-back loan, five years with an initial interest rate of 5%; and
-      EUR1,500,000 in cash.
