TSX Venture Exchange has accepted for filing an option agreement dated July 7, 2016 (the 'Agreement') between the Company, Logan Resources (USA) Ltd. and Pilot Gold (USA) Inc. (the 'Optionor'). Pursuant to the terms of the Agreement, the Company may acquire up to 80% of four of nine properties in Nevada and Utah  (collectively, the 'Property'). By way of consideration, the Company will make a cash payment of US$121,759.67 to reimburse the Optionor for holding costs. The Company will earn a 51% interest in the Property by issuing 4,231,037 shares at a deemed price of $0.075 per share and incurring US$1M in exploration expenses within twelve months. The Company can earn a 70% interest in the Property by incurring an additional US$2M within 36 months and by issuing an additional 1,000,000 shares to the Optionor. An 80% interest in any one of the selected properties may be earned by completing a prefeasibility study on that property.
