Jenny Egusquiza, Gary Anderson and Zbigniew Adam Szybinski (collectively, the "Vendors") under which BCGold will acquire all of the issued and outstanding shares of Circum Pacific Holdings Ltd. ("Circum-Pacific") a closely held British Columbia company which is the majority owner of the shares of Minera Chanape SAC ("Chanape") and Cima de Oro S.A.C. ("Cima"), the holders of the Chanape and Pucacorral mineral concessions, together with the remaining shares of Chanape and Cima not owned by Circum-Pacfiic (the "Transaction"). The overall consideration payable in connection with the Transaction is a total of 30,000,000 shares of BCGold and $60,000 with two-thirds of such consideration being issued to the shareholders of Circum-Pacific and the balance to the minority shareholder of Cima and Chanape. 6,672,000 of the shares of BCGold to be issued in connection with the Transaction will be held in escrow and released coincidental with the payments related to the acquisition of the shares of SMRL Cerro de Oro Tres, the holder of a further 9 concessions in Peru or otherwise upon the occurrence of certain agreed upon events.

TSX Venture Exchange Inc. (the "Exchange") has accepted for filing BRS Ventures Ltd. (the "Company") Qualifying Transaction described in its filing statement dated July 18, 2016 (the "Filing Statement").  As a result, effective at the opening on Friday, August 5, 2016, the trading symbol for the Company will change from BRV.H to BRV and the Company will no longer be considered a Capital Pool Company.  The Qualifying Transaction includes the following matters, all of which have been accepted by the Exchange.

Option to acquire a 100% interest in the Margurete Gold Property:

On May 20, 2016, the Company entered into a Property Option Agreement (the "Property Option Agreement") with Anstag Mining Ltd., a private British Columbia company controlled by Reza Mohammed, (the "Vendor") whereby the Vendor has granted an option to BRS to acquire a 100% interest in the Margurete Gold Property, located in the Phillips Arm area, approximately 210 kilometers northwest of Vancouver in southwest British Columbia, in the Vancouver Mining Division.

Under the terms of the Property Option Agreement, the Company will be required to make the following payments and incur the following exploration expenditures to earn a 100% interest in the Margurete Gold Property:


(a)  

$10,000 and 200,000 shares within 5 days of Exchange approval of the Property Option Agreement;


(b)  

$1,000,000 exploration expenditures on the Margurete Gold Property within 5 years of the signing of the Property Option Agreement.

During the term of the Property Option Agreement, the Company will be responsible for the annual claim maintenance fees ($1,186/year). The Company has also granted the Vendor a 1% Gross Overriding Royalty (the "Royalty") on the Margurete Gold Property.  At the option of the Company, it may purchase one-half of the Royalty for $1,000,000.

The Exchange has been advised that the transaction has been completed. The full particulars of the Company's Qualifying Transaction are set forth in the Filing Statement, which has been accepted for filing by the Exchange and which is available under the Company's profile on SEDAR.
