Over-Allotment Option:                   

The Underwriters were granted and have fully exercised an over-allotment option in connection with this offering.  The Underwriters were granted an over-allotment option, to purchase up to an additional 750,000 Units (being 15% of the Offering) on the same terms as above, exercisable up to 30 days after the closing of the Offering. The above noted Underwriters' Fee is also applicable to the Over-Allotment Option.
