Qualifying Transaction-Completed

TSX Venture Exchange (the "Exchange") has accepted for filing Cleantech Capital Inc.'s (the "Company") Qualifying Transaction described in its Filing Statement dated March 23, 2016. As a result, at the opening on Friday April 8, 2016, the Company will no longer be considered a Capital Pool Company. The Qualifying Transaction includes the following:

The Company acquired all the issued and outstanding shares of Char Technologies Inc. ("Char") by way of a three cornered amalgamation (the "Amalgamation"), and issued 15,499,995 Common Shares to the shareholders of Char.  Under the Amalgamation, all shareholders of Char exchanged their common shares of Char in return for common shares of the Company on a 1 for 49.382716 basis. Char did not have any convertible securities. As a result of the Amalgamation, Char has become a wholly-owned subsidiary of the Company.

As a result of the Amalgamation, a total of 6,025,001 resulting issuer common shares are escrowed pursuant to the CPC Escrow, 8,738,681 resulting issuer common shares are escrowed pursuant to an Exchange Tier 2 Surplus escrow and an additional 4,222,222 resulting issuer common shares are escrowed pursuant to an Exchange Tier 2 Value escrow. 

The resulting issuer is classified as an "All Other Miscellaneous Chemical Product and Preparation Manufacturing" issuer (NAICS Number: 325998).

Reinstated for Trading:
