TSX Venture Exchange (the "Exchange") accepts for filing documentation pursuant to Share Purchase Agreement dated March 13, 2016 (the "Agreement") between the Company's subsidiary, Maxx Group of Companies ("Maxx") and AG Growth International Inc (the "Acquisition Company"). Pursuant to the terms of the agreement, the Acquisition Company will acquire all of the issued and outstanding shares of NuVision Industries Inc ("NuVision"), a subsidiary of Maxx.

The purchase price for the shares will be an initial payment of $12,000,000 followed by the balance to be determined on a yearly basis as a five times multiple of the average EBITDA of NuVision for 2015, 2016, 2017 and 2018. The balance purchase price will not exceed $14,000,000 and thus the total consideration will not exceed $26,000,000.
