(the Vendor) whereby the terms have been amended to give the Company the right to acquire 100% interest in the Cordero Property, subject only to the Vendor's 2% NSR, by making staged issuances of 600,000 common shares over the next 12 months.  The Company will not be required to make any further cash payments or make any further exploration expenditures.
