The TSX Venture Exchange ("the Exchange ") accepts for filing documentation pursuant to a Credit Agreement dated May 29, 2015 ( the "Agreement"), between the Company and an Arm's Length Lender ( the "Lender").  As per the terms of the Agreement, the Lender will provide a $20 million standby bridge facility to assist in financing the closing of a proposed acquisition of the Company.  The interest rate will be 9.5% per annum for the first 12 months and 12% per annum thereafter.  There is a 14 month term on the amounts drawn under the facility. 

In consideration, the Company will issue a common share bonus of 8.5% to the Lender to be paid in 2 tranches.  The first tranche of 4.25% will be payable on or about May 29, 2015 at an issue price equal to a 10% discount on the 10 day VWAP (and subject to allowable TSX-V discounts).  The price is to be confirmed upon issuance of the first tranche of bonus shares.  The second tranche of 4.25% will be payable at the time the funds are drawn on the facility at a price equal to the price of shares to be issued on the acquisition equity financing.

TSX Venture Exchange (the "Exchange") has accepted for filing documentation pursuant to a Court approved plan of arrangement (the "Arrangement") between Petroamerica Oil Corp. (the "Company") and Gran Tierra Energy Inc. ("Gran Tierra") pursuant to an arrangement agreement dated November 12, 2015 (the "Agreement").  Approval of the Arrangement was obtained from holders ("Shareholders") of common shares of the Company ("Shares") at Special Meeting of Shareholders held January 11, 2016.  Pursuant to the terms of the Agreement, Shareholders will receive, at their election, either 0.40 of a share of common stock of Gran Tierra (each a "Gran Tierra Share") or $1.33 in cash for each Share, subject to a maximum of $101,301,755 of the consideration payable in cash.  Accordingly, Gran Tierra paid an aggregate of approximately $99.4 million and issued an aggregate of 13,656,719 Gran Tierra Shares to the Shareholders
