Acquisition of 100% of the issued and outstanding shares of Element Lifestyle Retirement Inc. ("Element"):

On August 27, 2015, Sonoma entered into an Acquisition Agreement with Element and the Element shareholders whereby it agreed to purchase all of the issued and outstanding Element shares in consideration of the issuance of 31,900,000 common shares of Sonoma to Element.

Element was established in June 2013 in Vancouver, British Columbia.  It is in the business of providing specialized development expertise and flexible, innovative management services for senior retirement communities.  The core business of Element is the development and management of third party assets in the "senior retirement community" space. Element emphasizes the "Continuum-of-Care" model, which encompasses a smooth, seamless transition for seniors from independence to assisted living to complex care.

The Exchange has been advised that Sonoma's acquisition of Element and the related transactions have been completed as of December 2, 2015. For additional information refer to the Filing Statement available under Sonoma's profile on SEDAR.

TSX Venture Exchange has accepted for filing documentation pursuant to a purchase and sale agreements Dated May 6, 2013 (the "Agreement") between Petro Rio S.A. (the "Company") and BP Energy do Brasil Ltda.  ("BP") to acquire a 60% working interest in the The Polvo field, located in the southern portion of the Campos basin, 100 kilometres eastward of the city of Cabo Frio, state of Rio de Janeiro, in Brazil (the "Field") along with a 100% interest in BP Energy America LLC, the owner of a fixed platform Polvo A and a 3,000-horsepower drilling rig that operates in the Field. The total acquisition price under the Agreements is US$135 million payable in cash.
