Under the terms of the Agreement, the Company is required to: (i) pay 500,000 common shares (250,000 within the first year), and (ii) make a total payment of $50,000 upon signing.

The Vendors will retain a 1% Net Smelter Royalty, half of which (0.5%) may be repurchased for $500,000
