TSX Venture Exchange (the "Exchange") has accepted for filing the documentation relating to an exclusivity agreement dated February 26, 2015 between PyroGenesis Canada Inc. (TSXV: PYR) ("PyroGenesis") and the Company (the "Agreement"), whereby PyroGenesis has granted the Company exclusive right to the usage of the PUREVAP quartz transformation technology (the "Technology") in return for an initial cash payment of $207,000 and 10% sales royalty payments, with set minimum annual amounts.
Under the terms of the Agreement, the Company must pay minimum annual amount of: i) $50,000 for 2016, ii) $100,000 for 2017, iii) $150,000 for 2018, iv) $200,000 for 2019, v) $250,000 for 2020 and beyond.
The Exchange has also accepted for filing the documentation relating to an Amendment dated September 28, 2015 to the Agreement, whereby the Company agreed to issue 1,000,000 common shares at a deemed price of $0.05 per share and 1,000,000 share purchase warrants to settle immediately the 2016 minimum payment of $50,000. Each warrant will allow to purchase one common share at an exercise price of $0.07 for a period of 36 months following the grant date.

Bourse de croissance TSX (la « Bourse ») a accepté le dépôt de documents en vertu d'une entente d' exclusivité datée du 26 février 2015, entre PyroGenesis Canada Inc. (TSXV: PYR) (« PyroGenesis ») et la Société (« l'entente »), selon laquelle la PyroGenesis a octroyé le droit exclusive d'utilisation de la technologie de transformation du quartz PUREVAP (la « technologie ») en contrepartie d'un paiement initial en espèces de 207 000 $ et des payements de royauté de 10%, sujet aux paiements annuels minimum préétablis.
Selon les termes de l'entente, la société doit payer des montants annuels minimum de : i) 50 000 $ en 2016, ii) 100 000 $ en 2017, iii) 150 000 $ en 2018, iv) 200 000 $ en 2019, v) 250 000 $ en 2020 et subséquemment.
La Bourse a également accepté le dépôt de documents en vertu d'un addendum à l'entente daté du 28 septembre 2015, selon lequel la société a accepté d'émettre 1 000 000 actions, au prix réputé de 0,05 $ l'action et 1 000 000 bons de souscription en règlement immédiat du paiement annuel minimum de 2016 de 50 000 $. Chaque bon de souscription permettant à son détenteur d'acheter une action additionnelle à 0,07 $ par action ordinaire pour une période de 36 mois suivant leur octroi.
