Company has acquired all of the issued and outstanding shares of Manitok
Exploration Inc. ("Manitok"). As consideration the Company has issued to the
former shareholders of Manitok 14,105,461 shares of the Company at a deemed
price of $1.33 per share for a total deemed consideration of $18,760,263. Of
theses shares 1,451,023 shares will be subject to a TSX Venture Exchange Tier
1 Value Security escrow agreement.
