Capital Corp. (the "Lender"), pursuant to which the Lender has provided a loan
of CDN$250,000 (the "Loan"). The bridge loan will be secured, accrue interest
at 12% per annum, payable monthly and mature on June 9, 2011. As further
consideration for granting of the Loan, the Company will issue 6% of the net
