    Completion of the transaction is subject to a number of conditions. Prior
to the Exchange granting final acceptance of the Qualifying Transaction, the
Company must satisfy the Exchange's Minimum Listing Requirements. There is a
risk that the transaction will not be accepted or that the terms of the
transaction may change substantially prior to acceptance. SHOULD THIS OCCUR, A
TRADING HALT MAY BE RE-IMPOSED.

an option agreement dated April 12, 2010, between D'Arianne Resources Inc.
("D'Arianne") and the Company, whereby the Company may obtain an initial 50%
interest in the 15 claims comprising the Brouillan Property, located in the
Northern Abitibi region of the province of Québec.
    In order to obtain an initial 50% interest, the Company must issue 700,000
common shares to D'Arianne (100,000 within the first year upon signing) over a
four-year period, and engage in $500,000 in exploration work over four years
($25,000 within the first year). Upon completion of $500,000 in exploration
work, the Company will be granted a subsequent option to earn an additional
30% interest in the property for an additional two year period.
