option agreement (the "Agreement") dated March 8, 2010, between Conquest
Resources Limited (the "Company"), NVI Mining Ltd. ("NVI"), and Prism
Resources Inc. ("Prism"). Pursuant to the Agreement, Prism has relinquished
its participating interest in the option agreement to the Company. The Company
now has the option to acquire up to a 100% interest in the Aurora and Sunday
Lake properties, located in Detour Lake, Ontario (the "Property").
    To earn a 60% in the Property, the Company must issue 1,000,000 shares to
NVI. The Company has the option to increase its interest to 100% in the
Property by incurring a further $2,000,000 in exploration expenditures by
December 31, 2012. NVI will retain a 2% net smelter return royalty ("NSR") on
the Property, of which the Company has the option to purchase half of the NSR
by making a further payment of $1,000,000 to NVI. Prism will continue to
retain a net profits interest equal to 7.5% of the Company's net profit from
the Property.
