the Company, through its wholly owned subsidiary IBC US Holdings, Inc. is
purchasing the assets and business of Beralcast Corporation, a private Nashua,
New Hampshire-based specialty alloy manufacturing business. In consideration,
the Company will pay a total of US$2,250,000 and issue 13,261,176 common
shares to the Vendors.

        1,400,000 shares to Frontier Asset Management Ltd.

    And spend $1,000,000 on Exploration of the property over four years as
follows:

    -   $60,000 on or before April 10, 2010;
    -   $140,000 on or before October 31, 2010;
    -   $200,000 on or before January 31, 2012;
    -   $300,000 on or before January 31, 2013; and
    -   $300,000 on or before January 31, 2014

    The Optionor may buy back 1% of the net smelter royalty for $1,000,000.

                             debentures are redeemed in months 19 to 24, one
                             additional payment of $150 will be made. If the
                             debentures are redeemed in months 25 to 36, two
                             additional payments of $150 will be made.
